Template Version: July 2026 | Governing Law: Nevada, unless modified

Effective Date: July 1, 2026

These Terms of Service ("Terms") govern access to and use of WorkDaxer websites, applications, software, demos, client portals, forms, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that company.

1. WorkDaxer Service

WorkDaxer is operations software for service businesses. It may include quotes, invoices, work orders, crew tracking, photos, customer history, client portal access, payroll/time tracking, marketing, inventory, equipment/tool tracking, reports, notifications, and related functionality depending on the plan or account configuration.

WorkDaxer is not a tax filing, legal, accounting, financial, or professional advisory service. You are responsible for verifying all records, invoices, estimates, reports, payroll/time information, taxes, and business decisions.

2. Accounts and Eligibility

You must provide accurate information and keep your account credentials secure. You are responsible for all activity under your account.

If you create or access a Client Portal account, you may only access records associated with your own customer account. Unauthorized access to other customer or company data is prohibited.

3. Plans, Billing, and Paid Services

Paid subscriptions, add-ons, custom services, messaging, storage, website services, domains, and support may be subject to separate pricing, order forms, invoices, and subscription terms.

Fees are non-refundable unless expressly stated or required by law. WorkDaxer may suspend or limit access for non-payment, abuse, security risk, or breach of these Terms.

4. Acceptable Use

You agree not to use the Service to: (a) violate laws; (b) infringe rights; (c) upload malware; (d) attempt unauthorized access; (e) interfere with security or performance; (f) send spam or unlawful messages; (g) scrape or reverse engineer the Service; (h) upload content you do not have rights to use; (i) harass, deceive, or harm others; or (j) overload storage, messaging, bandwidth, or platform resources.

WorkDaxer may remove content, restrict accounts, block activity, or suspend access where reasonably necessary to protect users, customers, the platform, third-party services, or legal compliance.

5. User Content and Customer Data

You retain ownership of data, files, photos, documents, records, messages, notes, and other content you upload or create in the Service ("User Content"). You grant WorkDaxer a limited license to host, process, transmit, display, back up, secure, troubleshoot, and use User Content to provide and improve the Service.

You are responsible for obtaining any permissions, consents, and legal rights needed to upload, store, process, share, or message information through the Service.

6. Client Portal Use

Companies using WorkDaxer may invite their customers to access a Client Portal. Client Portal users may be able to submit service requests, review quotes, approve or reject quotes, view job status shared by the company, view shared photos, access invoices, and review service history.

Client Portal content is controlled by the company providing service to you. WorkDaxer is not responsible for the quality, pricing, timing, warranties, disputes, performance, or business practices of that company.

7. Messaging and Communications

The Service may allow emails, SMS, WhatsApp, push notifications, or other communications. You are responsible for obtaining required consent from recipients and complying with applicable messaging, privacy, marketing, and anti-spam laws.

Message delivery is not guaranteed. Carrier filtering, third-party policies, recipient device settings, outages, or incorrect contact information may prevent delivery.

8. Intellectual Property

WorkDaxer owns the Service, software, code, workflows, design, user interface, database structure, documentation, templates, branding, logos, trade secrets, and related intellectual property. You may not copy, modify, resell, reverse engineer, decompile, or create derivative works from the Service except as expressly allowed in writing.

Feedback, suggestions, or ideas you provide may be used by WorkDaxer without restriction or compensation.

9. Privacy

Use of the Service is also governed by the WorkDaxer Privacy Policy. The Privacy Policy describes how personal information may be collected, used, stored, shared, and protected.

By using the Service, you acknowledge the Privacy Policy. If you use WorkDaxer on behalf of a company, you are responsible for ensuring your own customers and users receive appropriate privacy notices.

10. Third-Party Services

WorkDaxer may use or integrate with third-party services such as hosting, storage, email, SMS/WhatsApp providers, analytics, payment processors, domain registrars, maps, or accounting tools. Your use of those integrations may be subject to third-party terms.

WorkDaxer is not responsible for third-party outages, pricing changes, data practices, policy changes, or failures outside WorkDaxer's reasonable control.

11. Disclaimers

The Service is provided "as is" and "as available." WorkDaxer disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, accuracy, and error-free operation to the fullest extent permitted by law.

WorkDaxer does not guarantee business results, customer payments, tax outcomes, employee compliance, message delivery, data recovery, or uninterrupted service.

12. Limitation of Liability

To the maximum extent permitted by law, WorkDaxer will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost profit, lost revenue, lost data, business interruption, or replacement service damages.

For paid users, WorkDaxer's total liability will not exceed the amount paid to WorkDaxer for the Service during the three (3) months before the event giving rise to the claim. For free users or website visitors, WorkDaxer's total liability shall not exceed $100.

13. Termination

You may stop using the Service at any time. WorkDaxer may suspend or terminate access if you violate these Terms, fail to pay, create security risk, misuse the Service, or create legal or operational risk.

After termination, WorkDaxer may retain or delete data according to its retention policies, legal obligations, backups, and legitimate business needs.

14. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Venue shall be in Clark County, Nevada unless otherwise required by law.

15. Changes to Terms

WorkDaxer may update these Terms from time to time. Updated Terms will be posted with a revised effective date. Continued use of the Service after changes become effective means you accept the updated Terms.
